These Terms of Service (“Terms”) govern your access to and use of the TXED Partswebsite at sellbikeparts.com (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Business Nature

This Site is a business-to-business (B2B) platform operated by TXED Parts. All product listings, prices, and inquiries are intended for wholesale buyers, distributors, bike shops, service centers, and fleet programs. We do not sell to individual consumers for personal use.

2. Product Information & Pricing

All product descriptions, specifications, images, and prices displayed on the Site are provided for informational purposes and are subject to change without notice.

• Prices shown are FOB (Free on Board) reference prices in US Dollars (USD) and do not include freight, insurance, duties, or taxes, unless otherwise quoted in a formal offer.
• Minimum Order Quantities (MOQ) vary by product and are listed on each product page. MOQ must be met per order line.
• Lead times and freight charges are confirmed on inquiry and are not guaranteed until a formal quotation is issued.
• We reserve the right to correct pricing errors, typographical mistakes, or product information inaccuracies at any time.

3. Inquiries and Quotes

Submitting an inquiry through the Site does not constitute a binding order. The process works as follows:

• You submit an inquiry via the contact form or cart inquiry flow, providing your name, email, company (optional), and message.
• Our sales team reviews the inquiry and responds, typically within one business day, with availability, pricing, lead time, and any applicable terms.
• A formal quotation, if issued, is valid for the period stated on the quotation (typically 30 days unless otherwise specified).
• Orders are confirmed only upon mutual written agreement (including email) on price, quantity, delivery terms, and payment terms.

4. Orders, Payment, and Delivery

• Incoterms: Unless otherwise agreed, orders ship FOB (port of departure). DDP (Delivered Duty Paid) and other terms may be arranged by mutual agreement.
• Payment terms: Payment terms, including deposit requirements, currency, and accepted methods (e.g., T/T, L/C), will be specified in the formal quotation.
• Lead times: Stated lead times are estimates based on current production schedules and are not guaranteed. Delays due to factors beyond our control (e.g., customs, force majeure) do not constitute a breach.
• Inspection: Buyers are responsible for inspecting goods upon receipt. Claims for shortages or damage must be submitted in writing within 7 days of delivery.

5. Returns and Refunds

As all sales are B2B wholesale transactions, the following return policy applies:

• Defective products: Products found to be defective upon inspection may be returned for replacement or credit, subject to verification and written notification within 14 days of delivery.
• Non-defective returns: Returns of non-defective products are not accepted unless expressly agreed in writing before shipment.
• Custom / OEM products: Custom-manufactured or OEM/ODM products are non-returnable and non-refundable.

6. Intellectual Property

All content on the Site, including product images, descriptions, logos, and design elements, is the property of TXED Parts or its suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or use any content for commercial purposes without our prior written consent. Product images may depict items manufactured by third-party brands; all trademarks belong to their respective owners.

7. OEM/ODM Services

We offer OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) services. For OEM/ODM projects:

• Drawings, material samples, and finish specifications must be confirmed before production.
• Sample verification is required before bulk production.
• Custom tooling and development costs, if applicable, will be quoted separately and are non-refundable.

8. Warranties and Disclaimers

Products are manufactured under ISO9001 quality management standards. However, except as expressly stated in a formal quotation or product specification, all products are provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, TXED Parts shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Site or any products purchased through us. Our total liability for any claim shall not exceed the amount paid by you for the products giving rise to the claim.

10. Governing Law

These Terms and any disputes arising from them shall be governed by the laws of the People's Republic of China, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to all sales transactions.

11. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, civil unrest, government actions, supply chain disruptions, or raw material shortages.

12. Changes to These Terms

We may update these Terms at any time. Material changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
